This WCU CUBE License and Service Agreement (hereinafter referred to as “this Agreement”) is concluded by and between the user and the service provider WCU CUBE, and this Agreement has contractual effect. Users must carefully read and fully understand the contents of all clauses, especially those exempting or limiting liability, as well as any separate agreement for activating or using a specific service. Unless the user has read and accepted all the clauses of this Agreement, the user is not entitled to use WCU CUBE and its services. The user's use of WCU CUBE and its services will be deemed to mean that the user has read and agreed to sign this Agreement. If the user is under the age of 18, he/she should read this Agreement accompanied by his/her legal guardian and pay special attention to the terms regarding use by minors.
Important Notice:
First, before using WCU CUBE and its various related services, users are requested to carefully read all the clauses of the WCU CUBE License and Service Agreement (i.e., “this Agreement”). Moyu Culture hereby specifically reminds users to carefully read all the clauses of this Agreement, especially those exempting or limiting the liability of Moyu Culture (such clauses usually contain words such as “shall not be liable” and “under no obligation”) and other clauses limiting users' rights (such clauses usually contain words such as “shall not”). These clauses shall apply to the maximum extent permitted by Chinese law. The aforementioned disclaimer, limitation, dispute resolution and jurisdiction clauses may be brought to your attention by means of bold type, color marking or other reasonable means, including but not limited to the relevant clauses of Article 3, Article 4, Article 7 and Article 9 of this Agreement. Please read the aforementioned clauses again before confirming your consent to this Agreement or before using the WCU CUBE services.
Second, if the user does not agree to the clauses of this Agreement, please do not install or use WCU CUBE or related services. Once the user clicks “Accept”, “Agree” or other buttons with similar meanings and installs WCU CUBE, or registers, starts using and/or continues to use WCU CUBE or related services, it will be deemed that the user has accepted all the clauses of this Agreement. Thereafter, the user may not raise any form of defense on the grounds of not having read the contents of this Agreement or similar reasons.
Third, during the period of using WCU CUBE and its related services, the user has the right to supervise whether WCU CUBE provides services to users in accordance with the standards published by Moyu Culture, and may at any time submit opinions and suggestions to Moyu Culture regarding Moyu Culture's products and services.
1. Definitions and Explanations
In this Agreement, unless otherwise stated, the following terms have the following meanings:
1.1 This Agreement: refers to the body of this Agreement, the WCU CUBE Privacy Policy, the WCU CUBE Third-Party SDK Directory, the WCU CUBE Children's Personal Information Protection Guidelines, specific game privacy policies (if any), game rules and their revised versions. Once officially published, the above contents constitute an integral part of this Agreement.
1.2 Moyu Culture: refers to Shantou Chenghai Moyu Culture Co., Ltd.
1.3 Application rules: refers to the user rules, user regulations, application announcements and notices regarding WCU CUBE published and revised from time to time by the WCU CUBE service provider.
1.4 WCU CUBE platform: refers to the general term for the mobile applications operated by Moyu Culture (including but not limited to the Android version, iOS version and any other adapted versions of the mobile application that can be operated on mobile smart devices), as well as the updates, upgrades and patches related to such mobile applications; the WCU CUBE platform may be provided in the form of software, in which case the WCU CUBE platform also includes the relevant software and related documentation.
1.5 User: also called “end user”, refers to a natural person who obtains the license to use WCU CUBE through legal channels provided by WCU CUBE and installs and uses WCU CUBE and its services.
1.6 Application account: also called “account” or “user account”, refers to the user account successfully registered by a user in accordance with this Agreement and relevant laws, regulations and policies for the use of WCU CUBE services.
1.7 WCU CUBE member: also called “member” or “VIP”, refers to a user who obtains membership status by using WCU CUBE services (including but not limited to valid in-application recharge). Members may obtain membership experience in certain ways and enjoy the membership levels and benefits (if any) corresponding to the membership experience. A membership account corresponds one-to-one with an application account; however, the benefits of each WCU CUBE product under the same membership account can only be claimed once, and the application products for which members enjoy benefits and the benefit contents shall be subject to those actually issued by Moyu Culture.
1.8 WCU CUBE device verification: refers to verifying a smart device through the device verification interface that pops up on the personal page/when connecting a smart device, so as to add the relevant benefits to that account. Each smart device can only be verified by one account and cannot be transferred.
1.9 WCU CUBE services: refers to the various services related to the application provided by WCU CUBE to users.
1.10 Application data: refers to various data recorded by servers generated by users during the use of WCU CUBE, including application logs, security logs and other data.
2. Intellectual Property Statement
2.1 Moyu Culture lawfully enjoys all lawful rights and interests in WCU CUBE (including but not limited to intellectual property rights). The entire copyright and all other intellectual property rights of WCU CUBE, as well as all information content related to WCU CUBE, including but not limited to: wording and combinations thereof, icons, graphics, charts, color combinations, interface design, layout framework, relevant data, printed materials or electronic documents, are protected by Chinese intellectual property laws and regulations and relevant international treaties.
2.2 The “Moyu Culture, product logos (graphics) and/or Moyu Culture's product and service marks” embodied in WCU CUBE are all trademarks or registered trademarks of Moyu Culture in China and/or other countries/regions, and users may not use them without lawful authorization.
2.3 Moyu Culture owns patent rights, patent application rights, trademark rights, copyrights and other intellectual property rights in WCU CUBE and its various related services. Moyu Culture has not granted users any intellectual property rights related to WCU CUBE by virtue of this Agreement or by providing WCU CUBE and related services to users. Any rights not expressly granted to users under this Agreement are reserved by Moyu Culture.
3. Application Account
3.1 If a user needs to use and enjoy WCU CUBE, the user shall, in accordance with relevant laws, regulations and the requirements of government regulatory authorities, log in to the real-name registration system and complete real-name registration. When completing real-name registration, you shall provide true, lawful, accurate and valid identity information and necessary related information about yourself, and shall not complete real-name registration using another person's identity information. Otherwise, Moyu Culture has the right to take one or more of the handling measures prescribed in Paragraph 8 of Article 8 of this Agreement, may publish the handling results, and all consequences arising therefrom shall be borne by you; in addition, Moyu Culture has the right to require you to compensate for all losses caused to Moyu Culture thereby.
3.2 The user fully understands and agrees that, in order to better provide WCU CUBE services to users, Moyu Culture may submit user information to its affiliated companies, and Moyu Culture has the right to organize, compile, analyze and utilize user information by itself or through third parties.
3.3 The user fully understands and agrees that WCU CUBE or its cooperating third parties may, based on user information, provide users with various information about WCU CUBE such as activity information and promotional information via SMS, telephone, email and other means.
3.4 The application account is the identifier and credential licensed to you by WCU CUBE under this Agreement for logging in to and using WCU CUBE and related services, and its ownership belongs to Moyu Culture. You only enjoy the right to use the account in accordance with this Agreement, the relevant account use agreement and the special rules published by WCU CUBE for this purpose. You shall not provide the account to others in any manner, including but not limited to providing it to others for commercial use such as live streaming, recording and boosting by way of transfer, rental or lending. Otherwise, any legal consequences and liabilities arising therefrom shall be borne by you, and WCU CUBE has the right to take handling measures against your account including but not limited to warnings, restricting or prohibiting the use of all or part of the account functions, deleting the account, data and necessary related information, banning the account and even cancelling it; all consequences arising therefrom shall be borne by you.
3.5 You fully understand and agree that WCU CUBE has the right to verify, in accordance with legal requirements, whether the identity information provided by the user for registration is true and valid, and shall actively take reasonable technical and management measures to ensure the security and validity of the user account; users are obliged to properly keep their accounts and passwords and to use their accounts and passwords correctly and safely. Where either party fails to fulfill the above obligations, resulting in loss of the account password, theft of the account or other circumstances causing damage to the civil rights of the user or others, the liable party shall bear the resulting legal responsibility.
If you discover that another person is fraudulently using or stealing your account and password, or any other use without your lawful authorization, you shall immediately notify WCU CUBE in an effective manner (you may contact us via WCU CUBE customer service [ad@moyucube.com]). When notifying WCU CUBE, you shall provide valid personal identity information consistent with your registered identity information. After receiving your valid request and verifying your identity, WCU CUBE will take corresponding measures based on the specific circumstances (including but not limited to suspending the login and use of that account). Any losses caused to you and other users by WCU CUBE's taking of corresponding measures at your request shall be borne by you. If you fail to provide valid identity information, or the valid personal identity information you provide is inconsistent with the registered identity information, WCU CUBE has the right to reject your request, and any losses caused to you thereby shall be borne by you.
3.6 WCU CUBE will, in accordance with relevant laws and regulations and this Agreement, take effective measures to protect the legitimate rights and interests of minors in the course of using WCU CUBE services, including possibly taking technical measures, preventing minors from accessing inappropriate information or functions, limiting minors' time online, and preventing minors from becoming addicted to the Internet. As part of the rules, Moyu Culture will also publish WCU CUBE user guides and warning instructions in appropriate places, including content introductions, correct methods of use and methods of preventing harm. All minor users should carefully read and follow these guides and instructions under the guidance of their legal guardians; other users should avoid publishing or generating any content harmful to the physical or mental health of minors when using WCU CUBE services, and work together to create a healthy environment.
4. Collection, Use and Protection of User Information
4.1 You agree and authorize WCU CUBE to collect your personal information for the purpose of performing this Agreement. In the course of your use of WCU CUBE services, WCU CUBE will collect information you actively provide during the use of services or generated due to the use of services in the manner prescribed by the WCU CUBE Privacy Policy and specific privacy policies (if any), in order to provide and optimize our services and ensure the security of your account.
4.2 If WCU CUBE pushes various information to you such as activity information and promotional information about WCU CUBE, the collection and use of your personal information will comply with the WCU CUBE Privacy Policy and specific privacy policies (if any).
4.3 You acknowledge and agree that, where a competent state authority lawfully requires WCU CUBE to assist in the investigation of your account (including real-name identity information) and relevant data (such as recharge, consumption and transaction data), WCU CUBE may provide the aforementioned relevant information to that competent state authority.
4.4 You shall fully respect the personal information of any person, including but not limited to other users, that you learn of, receive or may access through WCU CUBE and related services. You shall not collect, copy, store, disseminate or use other users' personal information in any other manner; otherwise, the consequences arising therefrom shall be borne by you.
4.5 Protecting users' personal information and privacy is a basic principle of WCU CUBE. The collection, use and protection of users' personal information by WCU CUBE services will comply with the WCU CUBE Privacy Policy, specific privacy policies (if any) and other agreements. If you have consented to WCU CUBE's processing of your personal information pursuant to the aforementioned agreements or provisions and then withdraw your consent, in accordance with the law, your withdrawal of consent does not affect the validity of the personal information processing activities carried out prior to the withdrawal based on your consent.
5. Privacy Policy
Respecting users' personal privacy is a basic policy of WCU CUBE. Therefore, WCU CUBE will not disclose, modify or reveal users' registration data and non-public content saved in WCU CUBE's various services, unless WCU CUBE, in good faith, believes that disclosing such information is necessary, or has obtained the user's prior consent in accordance with the WCU CUBE Privacy Policy or through other channels, including but not limited to the following circumstances:
5.1 Compliance with applicable laws and regulations, including providing, at the request of a competent state authority, the content of information published by the user on WCU CUBE's webpages, the time of publication, the Internet address or domain name.
5.2 Maintaining and protecting Moyu Culture's intellectual property rights and other important rights.
5.3 Making best efforts to safeguard the privacy and security of users and the public in emergency situations.
6. Limitation of Liability
6.1 Users undertake to bear any risks arising from the use of WCU CUBE and related services. Except for explicit and appropriate warranties made for specific purposes and in compliance with regulations, Moyu Culture makes no other warranties of any kind (whether express or implied). Moyu Culture does not warrant that:
6.1.1 WCU CUBE and the related services provided by Moyu Culture meet the user's requirements;
6.1.2 WCU CUBE and the related services provided by Moyu Culture are free from the influence of force majeure, computer viruses, hacker attacks, system instability, the user's location, the user powering off the device, telecommunications department causes, and any other external or human factors such as networks, technologies and communication lines;
6.1.3 Installing, copying, accessing websites, recharging, running WCU CUBE, or otherwise using WCU CUBE and/or accepting the related services provided by Moyu Culture does not conflict with any other software;
6.1.4 The commercial reputation of third parties pointed to by links and tags on Moyu Culture's website, the application's official website and other related networks, and the authenticity, validity and legality of the services they provide.
6.2 Users fully understand and agree that, in order to improve the security level of WCU CUBE services, Moyu Culture has the right to apply relevant technologies or software to WCU CUBE, but Moyu Culture does not guarantee that these security measures can completely eliminate the risk of the application account being stolen or lost.
6.3 Users fully understand and agree that, in order to make efficient use of server resources, if a user does not log in to the application for 365 consecutive days, Moyu Culture has the right to take handling measures such as deleting the account and the application data and relevant information under that account (including but not limited to data and information such as roles, levels, virtual items and virtual currencies). Such handling may result in the loss of the relevant rights and interests of the user under that application account, and the deleted data and information cannot be restored; Moyu Culture shall not be liable for this.
6.4 If an account is abnormal (including but not limited to abnormal account data such as the user's application roles, application items, application equipment, application currency and membership experience), Moyu Culture has the right to temporarily freeze your account; if the account abnormality is caused by abnormal application behavior, Moyu Culture has the right to restore the application account data to the original state before the abnormality (including but not limited to recovering transferred data from third parties, deducting membership experience, lowering membership levels, etc.), cancel membership status, delete the application account or take other measures that Moyu Culture deems reasonable, and Moyu Culture shall not be liable to you. The aforementioned account abnormalities include but are not limited to the following circumstances:
6.4.1 Abnormality caused by application software bugs, version update defects, third-party virus attacks or any other factors;
6.4.2 Account abnormality or ownership disputes caused by third-party transactions, inconsistency between the account user and the real-name verification information, etc.;
6.4.3 Account abnormality caused by illegal means or third-party recharge not authorized by Moyu Culture;
6.4.4 The account is subject to malicious refunds. The aforementioned malicious refunds include but are not limited to: after obtaining in-application items, resources, equipment and other value-added services (referred to as “account resources”) through recharge, the user performs a refund operation on their own without notifying Moyu Culture through the officially published customer service contact information to deduct the corresponding account resources;
6.4.5 The account is subject to the violations stipulated in Articles 8.7 and 8.8 of this User Agreement;
6.4.6 The account is subject to other circumstances violating this User Agreement.
6.5 Moyu Culture has not authorized users to obtain application accounts, application items, application equipment, application currency, membership experience and levels from any third party through purchase, acceptance of gifts or other means. Moyu Culture is not responsible for third-party transactions and will not accept appeals arising from disputes over any third-party transactions.
6.6 Users fully understand and agree that there may be objective circumstances of non-interoperability between different operating systems, which are not caused by Moyu Culture, and this may result in the user's recharges and application data in one operating system not being smoothly transferred to another operating system. The risk of recharge losses and application data loss caused by the user switching between different systems shall be borne by the user, and the user may not require Moyu Culture to bear any liability.
6.7 Users fully understand and agree that WCU CUBE may include forced battle zones or gameplay; if the user does not agree to forced battles, the user should not enter that application or application zone; entering will be deemed as consent to that gameplay and acceptance of the corresponding consequences.
7. Changes to and Termination of the Software, Services and the Agreement
7.1 In order to safeguard the development of the company's business, Moyu Culture has the right to change WCU CUBE (including but not limited to upgrades, updates, additions, reductions, adaptations, etc.) and related services, as well as the contents of this Agreement, and also has the right to terminate WCU CUBE / related services / this Agreement; where necessary, Moyu Culture will publish such information in the form of announcements on important pages of Moyu Culture's website. Moyu Culture reminds users to regularly check and understand information on such changes and terminations.
7.2 Users have the autonomy to unilaterally decide at any time to terminate the use of WCU CUBE and related services and uninstall WCU CUBE. If Moyu Culture makes any change to WCU CUBE, related services or the contents of this Agreement and the user does not agree to the contents of such change, the user has the right to unilaterally immediately stop using WCU CUBE and related services and uninstall WCU CUBE. If the user continues to use WCU CUBE and related services after the contents are changed, it will be deemed that the user agrees to accept the contents of such change.
8. User Code of Conduct
8.1 On the premise that the user complies with this Agreement and relevant laws and regulations, Moyu Culture grants the user a personal, non-transferable and non-exclusive license to use WCU CUBE services. Users may use WCU CUBE services for non-commercial purposes only, including:
8.1.1 Receiving, downloading, installing, starting, upgrading, logging in, displaying, running and/or screen-capturing WCU CUBE;
8.1.2 Creating application roles, setting screen names, viewing application rules, user personal data and application match results, opening application rooms, setting application parameters, purchasing and using application items, application equipment, application currency, etc. in the application, and using the chat function and social sharing function;
8.1.3 Using other functions supported and allowed by WCU CUBE.
8.2 Users fully understand and agree that application items, application equipment, application currency, etc. are part of the WCU CUBE services, and Moyu Culture hereby grants you a license to use them under this Agreement. Users' purchase and use of application items, application equipment, application currency, etc. shall comply with this Agreement and the specific rules of the application; meanwhile, application items, application equipment, application currency, membership experience and level benefits may be subject to certain validity periods; if not used within the specified validity period, they will automatically expire upon expiration, except in cases of force majeure or causes attributable to Moyu Culture.
8.3 Users fully understand and agree that, in order to create a fair and healthy application environment, during the user's use of WCU CUBE services, Moyu Culture has the right to use technical means to inspect the random-access memory of the user's terminal equipment and programs running simultaneously with WCU CUBE. Once any unauthorized program that endangers the normal operation of WCU CUBE services is discovered, Moyu Culture will collect all relevant information and take reasonable measures to combat it.
8.4 Moyu Culture will, in accordance with relevant laws and regulations and this Agreement, take effective measures to protect the legitimate rights and interests of minors in the course of using WCU CUBE services, including possibly taking technical measures, preventing minors from accessing inappropriate applications or application functions, limiting minors' application time, and preventing minors from becoming addicted to the Internet. As part of the application rules, Moyu Culture will also publish WCU CUBE user guides and warning instructions in appropriate places, including introductions to application content, correct methods of using the application and methods of preventing harm. All minor users should carefully read and follow these guides and instructions under the guidance of their legal guardians; other users should avoid publishing or generating any content harmful to the physical or mental health of minors when using WCU CUBE services, and work together to create a healthy application environment.
8.5 Users fully understand and agree that you are responsible for all acts under your user account, including any content you publish and any consequences arising therefrom.
8.6 When using Moyu Culture or the services provided by Moyu Culture, users must abide by laws and regulations and shall not use Moyu Culture or the services provided by Moyu Culture to engage in illegal or non-compliant acts, including but not limited to the following:
(1) Violating the basic principles laid down in the Constitution;
(2) Endangering national unity, sovereignty and territorial integrity;
(3) Disclosing state secrets, endangering national security, or damaging national honor and interests;
(4) Inciting ethnic hatred or ethnic discrimination, undermining ethnic unity, or infringing upon ethnic customs and habits;
(5) Promoting cults or superstitions;
(6) Spreading rumors, disturbing social order, and undermining social stability;
(7) Advocating obscenity, pornography, gambling or violence, or instigating crimes;
(8) Insulting or defaming others, or infringing upon the legitimate rights and interests of others;
(9) Violating social morality;
(10) Other content prohibited by laws, administrative regulations and state regulations.
8.7 Unless otherwise provided in this Agreement, without the written consent of Moyu Culture, users shall not engage in the following acts (whether for profit or not for profit):
8.7.1 Copying, duplicating, disseminating and displaying all or part of the programs, user manuals and other graphic, audio and video materials of WCU CUBE.
8.7.2 Publicly displaying and playing all or part of the contents of this product.
8.7.3 Renting out or selling WCU CUBE, or using WCU CUBE to engage in profit-making activities.
8.7.4 Modifying or concealing the product names, company logos, copyright information and other contents on the programs, images, animations, packaging and manuals of WCU CUBE.
8.7.5 Other acts violating the Copyright Law, the Regulations on Computer Software Protection and relevant laws and regulations.
8.8 Users shall use WCU CUBE and related services through lawful channels and shall not engage in the following acts that harm the interests of Moyu Culture or third parties, disturb application order, violate application fairness, violate this Agreement or other rules published by Moyu Culture, or violate relevant national laws and regulations, including but not limited to:
8.8.1 Modifying, translating, annotating, compiling, adapting or deriving from WCU CUBE;
8.8.2 Reverse engineering, reverse compiling or reverse assembling WCU CUBE, or using other technical means to analyze, modify, attack or derive from WCU CUBE;
8.8.3 Using any plug-in program or application modification program (the “plug-in program” in this Agreement refers to all programs that are independent of the application software and can affect the operation of the application while the application is running, including but not limited to all types that simulate user operations, change the operating environment, and modify data. Where the definition of plug-ins stipulated by relevant national laws, regulations, rules of competent government authorities or normative documents conflicts with this Agreement, the provisions of laws, regulations, departmental rules or normative documents shall prevail), to conduct restoration engineering, compilation, decoding or modification of this online application software, including but not limited to modifying any proprietary communication protocol used by WCU CUBE, and modifying or locking data in dynamic random-access memory (RAM);
8.8.4 Using abnormal methods to log in to the application (including but not limited to using third-party software or systems not developed, authorized or recognized by Moyu Culture to log in to the application), using network accelerators and other plug-in software or robot programs to maliciously damage service facilities and disrupt normal service order;
8.8.5 Using WCU CUBE in an abnormal or illegal manner (including but not limited to using WCU CUBE to log in to private servers of the application), maliciously damaging WCU CUBE, disrupting normal service order or engaging in other improper acts;
8.8.6 Creating, disseminating or using plug-ins, packets, accelerators and various other cheating programs, organizing or instigating others to use such software programs, or selling such software programs for personal or organizational economic gain;
8.8.7 Participating in WCU CUBE competitions in an abnormal or illegal manner and disrupting the normal order of the platform.
8.8.8 Using any means or method to attempt to attack the relevant servers, routers, switches and other equipment providing application services for the purpose of illegally obtaining or modifying unauthorized data and information, affecting normal application services, or any other harmful purposes;
8.8.9 Using technical defects or loopholes that may exist in WCU CUBE or the online application system to seek benefits for oneself and others in various forms (including but not limited to copying virtual items in the application) or engaging in other improper acts;
8.8.10 Violating relevant national laws and regulations and using WCU CUBE to create, copy, publish and disseminate information;
8.8.11 Implying or falsely claiming to be an internal employee of Moyu Culture or holding a special status in some manner in an attempt to obtain improper benefits or affect the rights and interests of other users;
8.8.12 Using illegal or improper words or characters in WCU CUBE, including for role naming;
8.8.13 Stealing other people's application accounts and application items;
8.8.14 Privately engaging in transactions of application accounts, application items, application equipment, application currency, etc.;
8.8.15 Other improper acts widely recognized in the industry, whether or not expressly listed in this Agreement or the application rules.
8.8.16 Without the written authorization of Moyu Culture, using any tools or technical means (including but not limited to packet capture tools, network sniffing, Bluetooth sniffing/packet capture tools, proxy debugging tools, debuggers, emulators and Hook frameworks, etc.) to intercept, eavesdrop on, record, store, decrypt or analyze the communication data or network data packets between WCU CUBE and the server, or the Bluetooth communication data between smart ball-axis devices and other smart hardware devices connected to the WCU CUBE platform and the WCU CUBE software, or to obtain the application communication protocols, interfaces, encryption algorithms and other technical information through the aforementioned means;
8.8.17 Without the written authorization of Moyu Culture, setting up, using or operating relay servers, proxy services or any other technical means to intercept, forward, tamper with, forge, simulate, relay, cache or redistribute the communication data between WCU CUBE and the server, or the Bluetooth communication data between smart ball-axis devices and other smart hardware devices connected to the WCU CUBE platform and the WCU CUBE software, or providing third parties with technical services or technical support related to the aforementioned acts;
The handling measures for the acts prescribed in the preceding paragraph include but are not limited to:
(1) Warning; and/or
(2) Muting, including but not limited to muting in all zones, in a single zone and in public channels; and/or
(3) Content reset, including but not limited to resetting or forcibly modifying illegal nicknames, room names, pictures and other illegal information or content provided or uploaded by you; and/or
(4) Reducing or restricting your software benefits. Such software benefits include but are not limited to the increase of all data related to the growth and upgrade of account roles in the software (such as experience points, honor points, reputation points, titles, etc.) and the acquisition of virtual items and other value-added services in the software; and/or
(5) Deleting or cancelling user accounts, user data or other user-related information; and/or
(6) Restricting or prohibiting you from entering specific scenarios in the software or using specific software functions; and/or
(7) Forcibly exiting the software (i.e., “kicking out of the software”), including but not limited to forcibly exiting the entire software, a single match in the software, or other software activities in progress; and/or
(8) Temporarily or permanently prohibiting your software account from logging in to Moyu Culture (hereinafter referred to as “account banning”); and/or
(9) Temporarily or permanently prohibiting the specific terminals involved in your illegal or non-compliant acts (including but not limited to PC terminals and mobile terminals) from logging in to Moyu Culture; and/or
(10) Suspending or terminating your use of Moyu Culture and related services, or unilaterally notifying you of the termination of this Agreement; and/or
(11) Filing corresponding civil lawsuits for your illegal or non-compliant acts, pursuing your tort, breach of contract or other civil liabilities, and requiring you to compensate Moyu Culture for the losses suffered due to your illegal or non-compliant acts (including direct economic losses, reputation or goodwill losses suffered by Moyu Culture, and compensation, settlement fees, attorney fees, litigation fees and other indirect losses paid by Moyu Culture to third parties), or transferring the case to relevant administrative authorities for administrative penalties, or transferring it to judicial authorities to pursue your criminal liability; and/or
(12) Other handling measures published by Moyu Culture through software rules (including but not limited to user rules, user regulations, software announcements, notices and instructions).
You acknowledge and agree that, since cheating hardware such as plug-ins and software synchronizers is concealable or disappears immediately after use, Moyu Culture has the right to determine whether you have used illegal plug-ins or cheating hardware such as software synchronizers based on your software data and abnormal performance.
8.9 You acknowledge and agree that, where Moyu Culture takes account banning measures against your account in accordance with this Agreement, the specific banning period shall be determined by Moyu Culture based on the severity of your violation.
8.10 Moyu Culture provides WCU CUBE for use and provides services to users through its own network system via the international Internet (Internet). Meanwhile, users shall provide the following equipment and information themselves:
8.10.1 Provide the equipment needed for Internet access, including mobile devices (including but not limited to mobile phones and tablets), wireless routers or other necessary Internet access devices;
8.10.2 Bear the telephone and network expenses related to this service incurred for personal Internet access;
8.10.3 In view of the importance of the services provided by Moyu Culture, users agree to:
(1) Provide detailed and accurate personal data;
(2) Continuously update registration data to meet the requirements of timeliness, detail and accuracy;
(3) Remember the registration data and historical information filled in by the user.
The premise for Moyu Culture to provide relevant customer service to users is that the user can demonstrate that they are the owner of the account, which may require the user to provide relevant information (including but not limited to registration information, real-name identity information, historical passwords, etc.). Users understand that if they cannot provide accurate and complete registration data and relevant historical information, fail to update relevant registration data in a timely manner, or provide relevant evidence, this may result in Moyu Culture being unable to determine the user's identity and thus unable to provide services such as password recovery, and Moyu Culture shall not be liable for this. If Moyu Culture makes an erroneous judgment due to inaccurate, incomplete or unlawful information submitted by the user, Moyu Culture has the right to terminate the provision of services to the user and pursue the user's legal liability.
8.11 Moyu Culture reserves the right to deliver commercial advertisements to users through WCU CUBE and related services.
9. Virtual Currency and Virtual Items
9.1 This application allows the purchase of virtual currency and the use of such virtual currency to purchase virtual items or services that we expressly provide. Virtual currency belongs to the content category; what you pay for is not ownership of the items, but only a limited, non-transferable, non-sublicensable and revocable license to use, solely for your personal, non-commercial use of this service to obtain and purchase virtual items.
9.2 The purchase of virtual currency and virtual items is limited to account holders who meet the following conditions:
(1) Aged 18 or above; or
(2) Under 18 but with parental consent.
Parents of children under 18 can restrict in-app purchases through iOS, Android or Google Play settings, and should monitor their children's accounts to prevent abnormal operations, including purchases of virtual currency or virtual items. If a parent accepts these terms on behalf of their child, this indicates consent for the child to independently exercise the right to purchase and redeem virtual currency and virtual items.
9.3 Virtual currency can only be used to redeem designated virtual goods in the application.
9.4 Virtual currency belongs to the content category. By purchasing virtual currency, users only obtain a limited, non-transferable, non-sublicensable and revocable license to use it for personal, non-commercial purposes and to redeem virtual items. Users explicitly acknowledge and agree that virtual currency and virtual items have no monetary value and do not constitute real currency, property or any type of actual ownership.
9.5 Virtual currency and virtual items have no monetary value and cannot be exchanged for real currency, goods or services.
9.6 It is prohibited to obtain, transfer or sell virtual currency and virtual items through third-party platforms, transactions, brokerage or other mechanisms. For any act violating this clause, WCU CUBE has the right to cancel the relevant virtual currency or virtual items and may terminate the user's account.
9.7 Virtual currency can be used to redeem virtual items. Prices and inventory may change at any time; all sales are final transactions and are non-refundable or non-exchangeable.
9.8 The operator reserves the right to change and update prices and inventory at any time. All virtual currency, virtual items and related contents are provided on an “as is” basis without any express or implied warranties.
9.9 Any transaction in violation of the above provisions will be cancelled and may result in the termination of your account.
10. Liability for Breach of Contract
10.1 Users agree to safeguard and protect the interests of Moyu Culture and other users. If Moyu Culture suffers damage due to the user's violation of relevant laws, regulations or any clause under this Agreement, the user agrees to bear the liability for such damage, including but not limited to any direct or indirect losses caused to Moyu Culture.
10.2 If the user violates this Agreement, other rules published by Moyu Culture or relevant national laws and regulations, Moyu Culture has the right to make an independent judgment, immediately revoke the relevant license, terminate the provision of services to the user and pursue the user's legal liability through various lawful channels.
11. Governing Law and Dispute Resolution
11.1 The conclusion, performance, interpretation and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China, excluding the application of all other conflict-of-law rules.
11.2 If any dispute arises between the parties regarding the contents of this Agreement or its performance, the parties shall try to resolve it through friendly negotiation; where negotiation fails, either party shall file a lawsuit with the People's Court of Chenghai District, Shantou City.
12. Miscellaneous Provisions
12.1 This Agreement constitutes the entire agreement between the parties regarding the matters agreed upon herein and other related matters; except as provided in this Agreement, no other rights are granted to either party.
12.2 If any clause of this Agreement is determined to be wholly or partially invalid or unenforceable for any reason, such invalid or unenforceable clause will be replaced by a valid and enforceable clause that most closely reflects the intent of the original clause, and the remaining clauses of this Agreement shall remain valid and enforceable.
12.3 The headings of all clauses of this Agreement are for reading convenience only, have no actual meaning, and shall not serve as a basis for interpreting the meaning of this Agreement.
12.4 Moyu Culture has the right to amend the clauses of this Agreement when necessary; you may check the latest version of the agreement on the relevant pages of Moyu Culture. After the clauses of this Agreement are amended, if you continue to use Moyu Culture's services, it will be deemed that you have accepted the amended agreement.
12.5 Moyu Culture's failure to exercise, timely exercise or fully exercise any right under this Agreement or as provided by law shall not be deemed a waiver of that right, nor shall it affect Moyu Culture's exercise of that right in the future.
12.6 To the maximum extent permitted by law, Moyu Culture reserves the right of final interpretation of this Agreement.
